On 1 July 2026 Việt Nam was supposed to switch on a national platform through which every electronic labour contract in the country would be registered and stamped with an identification code. Four months later the Government has put on record, in a short resolution signed on 30 October 2026, that the switch could not be flipped: not one eContract provider has yet met the licensing and technical conditions and completed its connection. Nghị quyết 44/2026/NQ-CP pauses the official launch, validates the contracts signed in the meantime, and sets a new hard date.
What the document is
The full title is Nghị quyết về giải pháp tháo gỡ khó khăn trong triển khai hợp đồng lao động điện tử theo quy định tại Nghị định số 337/2025/NĐ-CP ngày 24/12/2025 của Chính phủ, a Government resolution on measures to resolve difficulties in implementing electronic labour contracts under Nghị định 337/2025/NĐ-CP. Phó Thủ tướng Phạm Thị Thanh Trà signed it on behalf of the Government on 30 October 2026. It took effect the same day, and three of its operative points apply retroactively from 1 July 2026. The Government’s official newspaper carried it in the daily bulletin of 30 October, and legal and business press reproduced the operative text the same evening.
A nghị quyết of the Government is not an amendment to a decree. It is the instrument the Government uses when a decree’s timetable has collided with reality and it needs to say what happens in the gap, without reopening the decree itself. Nghị định 337/2025/NĐ-CP stays in force unchanged; the resolution tells everyone how to read it for the rest of 2026.
The system it rescues
Nghị định 337/2025/NĐ-CP, also signed by Phó Thủ tướng Phạm Thị Thanh Trà, is dated 24 December 2025, has 30 articles, and took effect on 1 January 2026. It is the first dedicated legal regime for electronic labour contracts in Việt Nam. Its architecture has three layers:
- The platform. Nền tảng hợp đồng lao động điện tử is a large-scale e-transaction information system within the meaning of khoản 2 Điều 17 of Nghị định 137/2024/NĐ-CP, built, operated and managed by Bộ Nội vụ (Điều 3 khoản 2). It stores contract data centrally and issues every contract a unique identification code, the ID (Điều 3 khoản 5). Bộ Nội vụ had approved building it on 25 June 2025 under Quyết định 650/QĐ-BNV, as a trial of an IT product not yet available on the market, with Cục Tiền lương và Bảo hiểm xã hội in charge.
- eContract systems. Private providers run the signing systems, called eContract, which must connect to the platform through a standard API (Điều 6 khoản 1 điểm l). Điều 6 khoản 1 lists twelve technical conditions for an eContract, from digital-signature software and identity verification under the e-identification rules to a function for converting between paper and electronic form and a function for filing labour-use reports.
- Providers. Điều 6 khoản 3 sets three conditions for a Nhà cung cấp eContract: an eContract that meets khoản 1; technology to match the biometric data of the signatory, such as fingerprint, face, iris or voice, against the identity document; and a trusted-service business licence that covers data-message certification under the Luật Giao dịch điện tử. The parties themselves need valid identity documents or a level-2 VNeID account, a digital signature and a timestamp service (Điều 6 khoản 2).
Once the last party has signed, the provider must send the contract to the platform within 24 hours to receive its ID (Điều 6 khoản 4). Điều 28 khoản 1 set the schedule: the platform had to be officially in operation no later than 1 July 2026, and from that date electronic labour contracts were to be concluded and performed under the decree. Điều 4 khoản 3 only encourages electronic contracts, so paper contracts remain lawful.
Thông tư 08/2026/TT-BNV of 15 May 2026, effective 1 July 2026, filled in the mechanics: the ID is one letter and twelve digits, with A for contracts signed through a compliant eContract from 1 July 2026, B for contracts converted from paper and C for contracts signed before 1 July 2026 (Điều 5); the platform issues the ID within 24 hours (Điều 6); users log in with VNeID (Điều 7); a provider files a connection dossier and Bộ Nội vụ has 20 working days to test and issue a connection account (Điều 9); a connection is suspended if 5 percent or more of a provider’s contracts in a month fail to receive an ID (Điều 10); and the ministry publishes the list of connected, suspended and terminated providers within 24 hours of each change (Điều 21). Its transition clause, Điều 24, already anticipated some slippage: a provider that had filed a dossier but was not connected by 1 July could keep signing, as long as it completed the connection by 20 July 2026.
That grace period expired without a single connection being completed. The resolution is the Government’s answer.
What changes
The resolution addresses any provider that was already offering electronic labour contract services before 1 July 2026 and had not completed its connection to the platform by that date. For them, four rules apply:
- Keep signing until the end of 2026. While waiting to connect, the provider may continue to offer electronic labour contract conclusion services until the end of 31 December 2026 (điểm a).
- Interim contracts are valid. A contract concluded during the waiting period has the same value as a written paper labour contract and is performed under labour law and e-transaction law until it expires (điểm b).
- IDs will come later. Those contracts receive their ID in the same way as contracts concluded before 1 July 2026, following Bộ Nội vụ guidance (điểm c). Under Thông tư 08/2026/TT-BNV that is the C-series ID, after the provider has helped the parties add any missing digital signatures and timestamps.
- From 1 January 2027, no more exceptions. Conclusion of an electronic labour contract must meet the conditions and methods of Điều 6 of Nghị định 337/2025/NĐ-CP (điểm d).
Points a, b and c apply from 1 July 2026. In other words, every e-contract signed between 1 July and 30 October through a provider that was still outside the platform is cured retroactively.
The second operative clause concerns the platform itself. Its official operation is suspended until there is at least one eContract provider that meets the conditions of Điều 6 khoản 3 and has completed the connection procedure. But the suspension has a ceiling: the platform must be officially in operation no later than 15 December 2026.
Compared with the transition clause in Thông tư 08/2026/TT-BNV, the resolution is both wider and longer. It covers any provider in business before 1 July, not only those that had filed a connection dossier. It moves the end of the grace period from 20 July to 31 December. It states the paper-contract equivalence expressly rather than leaving it to the Bộ luật Lao động’s general rule that a contract concluded as a data message counts as a written contract. And it fixes a calendar date for the platform instead of a condition.
Who is affected
- Employers that have already moved to electronic labour contracts. Many large employers and HR software users signed e-contracts between July and October through providers that were not connected. Those contracts are now explicitly valid.
- Workers who signed such contracts. Their contracts stand, and will receive an ID later without any action on their part.
- eContract providers, which in Việt Nam are mostly telecom groups, e-invoice vendors and HR software companies that already sell electronic contract products. They have until 31 December 2026 to operate under the old rules and until 1 January 2027 to be fully compliant if they want to keep selling labour-contract signing.
- Bộ Nội vụ, which now has a statutory date of 15 December 2026 for the platform.
Practical implications
For an employer, the first task is to find out whether the provider it uses has filed a connection dossier and, after 15 December, whether it appears on the ministry’s published list. From 1 January 2027 a labour contract signed through an unconnected eContract will not meet Điều 6, and the resolution offers no further safety net. Switching providers at the turn of the year, while payroll and social insurance filings are closing, is not something to leave until December.
Employers should also budget for the signing conditions on the worker side. Điều 6 khoản 2 điểm c requires each party, including the employee, to have a digital signature and use a timestamp service. For a factory with several thousand workers that is a real cost and an onboarding exercise, and it is the part of the regime that paper contracts do not have.
For providers, the gating condition is almost certainly the trusted-service licence for data-message certification combined with biometric matching, since the technical checklist of Điều 6 khoản 1 is one most established vendors can tick. A provider that wants to be connected when the platform goes live on 15 December needs to allow the 20 working days of Điều 9 of Thông tư 08/2026/TT-BNV, which means filing by about mid-November. Quarterly reporting and a technical audit of the certification service under Thông tư 19/2025/TT-BKHCN follow within a year of connection (Điều 19).
For workers, nothing changes immediately. From 2027 the practical difference is that signing a labour contract electronically will mean using a personal digital signature, typically through a VNeID-linked account, rather than clicking an approval button in an HR app.
Open questions
- Why did nobody qualify? The resolution does not say. Its wording, “until there is a provider that meets Điều 6 khoản 3 and completes connection”, implies that as of 30 October no provider had cleared both hurdles. Whether the blocker was the certification licence, the biometric matching, the API testing or the platform’s own readiness is not stated.
- What if 15 December arrives and still no provider qualifies? The platform must then operate officially anyway, with no connected eContract. The two-week gap to 1 January 2027, when Điều 6 compliance becomes mandatory, leaves very little time for providers to connect and for employers to migrate.
- Contracts signed after 31 December 2026 through an unconnected provider. They would still be data-message contracts under the Bộ luật Lao động and the Luật Giao dịch điện tử, but they would not meet Điều 6 of the decree and would have no ID. The resolution does not say what consequence, if any, follows.
- Retroactivity by resolution. Points a to c reach back to 1 July 2026. Validating past conduct through a Government resolution rather than a decree amendment is pragmatic, but it leaves the decree text and the practice out of step for the rest of the year.
- The retrofit burden. Issuing C-series IDs to interim contracts requires the provider to help both parties add digital signatures and timestamps where they are missing (Thông tư 08/2026/TT-BNV, Điều 6 khoản 1 điểm c). Who pays for that, and what happens to contracts of workers who have since left, is not addressed.
